Version 2026-10-09-v2
1. Eligibility and application
“Supplier” means the business identified in the application. “Buyer” means a business seeking manufacturing services. “PartEnvoy” means Dániel Gergő Kis, trading as PartEnvoy, KVK 42159606. The applicant confirms authority, business status and acceptance of these terms. PartEnvoy may verify information and approve, pause or reject participation at its discretion. Application does not guarantee admission, exclusivity, RFQ volume or an order.
2. Accurate capability information
The Supplier must keep its legal identity, ownership, facilities, processes, equipment, materials, capacity, quality systems, certifications, special-process approvals, inspection capability, insurance and compliance information accurate and current. It must promptly disclose a material lapse, restriction, incident or change. Certificates must be genuine, in scope and unexpired.
3. Opportunities and fee acceptance
An RFQ or Opportunity Notice is an invitation to quote, not an order. The Supplier is free to decline it. Before receiving Buyer identity or restricted project information, the Supplier may be required to accept in writing the opportunity scope, confidentiality controls and applicable success-fee terms. No success fee can arise unless the Supplier first accepts the applicable Opportunity Notice in writing. PartEnvoy may withdraw or revise an opportunity before the Supplier's quotation is accepted, but a fee change does not apply retrospectively.
The Supplier must assess manufacturability and quote only work it can competently perform. Quotations must identify the customer-facing price, currency, VAT treatment, tooling, lead time, capacity assumptions, Incoterms, validity, payment, inspection, documentation, exclusions, approved facility and any subcontracting. The Supplier controls its price and remains free to accept or reject an order.
4. Anonymised quotation presentation
The Supplier authorises PartEnvoy to standardise, summarise, rank and present its responsive quotation to the Buyer on an anonymised basis. PartEnvoy may initially withhold the Supplier's name, contact details and exact facility address while sharing price, tooling, lead time, validity, relevant capability and quality information, broad manufacturing country or region where material, assumptions, exclusions and delivery terms. The Supplier must identify information that would reveal its identity and, when requested, provide an unbranded comparison version.
PartEnvoy will not knowingly change a material technical or commercial condition. The Supplier's official quotation controls if there is a discrepancy. An anonymised comparison is non-binding. Supplier identity and the official quotation will be disclosed before the Buyer can place a binding order or enter the direct manufacturing contract.
5. Confidentiality and data security
RFQ information may be used only to evaluate, quote and perform the authorised project. The Supplier must limit access to personnel and approved subcontractors who need it, use proportionate access controls and secure transfer, and not publicise or upload project information to an external AI system. Suspected loss or unauthorised access must be reported without undue delay to notifications@partenvoy.com. A separately signed NDA controls if stronger or more specific.
6. Manufacturing, quality and direct contract
Before work starts, the Supplier and Buyer must enter a direct written contract or accepted purchase order covering scope, revision, price, payment, title, risk, delivery, Incoterms, inspection, acceptance, warranty, defect remedies, liability, tooling, intellectual property, compliance, termination and disputes. The Supplier is responsible for manufacturing method, competent personnel, material authenticity and traceability, process control, inspection, testing, certificates, packaging, conformity, delivery and corrective action. It must not make an unauthorised substitution, deviation, repair, rework, facility change or critical subcontract.
PartEnvoy is not a party to the manufacturing contract and does not guarantee Buyer payment. Its review, relay, comparison, recommendation, visit or status update is not technical approval and does not transfer responsibility.
7. Standard success fee
No fee is due merely for applying, being approved, receiving a lead or submitting an unsuccessful quotation. For an Opportunity Notice stating the standard graduated schedule, the fee is 8% of the first €10,000, 5% of the next €40,000 and 3% of the portion above €50,000 of cumulative Net Order Value for Introduced Orders in the same PartEnvoy-introduced Buyer–Supplier relationship during the 12-month protected period. These are marginal rates: each percentage applies only to its portion, not to the whole order. There is no minimum fee. Each later order incurs only the increase in the cumulative fee; splitting purchases or invoices does not restart the brackets. PartEnvoy may agree a different flat fee, reduction or cap only if the Supplier accepts that amount in its written Opportunity Notice before quoting. A previously accepted notice retains its recorded fee schedule and governing terms version unless both parties expressly agree otherwise.
“Net Order Value” means all amounts payable to the Supplier or an affiliate for the parts and required production-related work, including materials, setup, programming, tooling and non-recurring engineering. It excludes VAT, separately itemised third-party freight, customs duties, insurance and amounts genuinely refunded or credited to the Buyer. Splitting an order, invoice or recipient does not reduce the fee base. For a non-euro order, the euro equivalent is calculated using the European Central Bank reference rate on the order date or, if unavailable, a reasonably selected published market rate identified on the fee invoice.
For the graduated schedule, cumulative value is the total Net Order Value of Introduced Orders between the same Buyer and Supplier within the protected period, including related orders under separate RFQs. For each new order, the fee earned is the graduated fee on the new cumulative total minus the graduated fee on the preceding total. Credits and genuine refunds reduce the cumulative total and the corresponding fee. PartEnvoy will maintain the order-by-order calculation and show it on the fee invoice.
An “Introduced Order” means a purchase order, contract, paid sample, prototype, production batch or substantially related repeat order resulting from a Buyer, requirement or Supplier relationship first introduced or materially developed by PartEnvoy. It includes an order placed through an affiliate or intermediary during the protected period in section 9.
8. Invoicing, payment and tax
The Buyer pays the Supplier directly. PartEnvoy invoices only the success fee. The fee is earned when an Introduced Order is concluded, but becomes payable proportionally as the Supplier receives each Buyer payment, including a deposit or retained cancellation payment. The Supplier must notify PartEnvoy within five business days of accepting an Introduced Order and of receiving each payment. PartEnvoy invoices the corresponding fee with a 14-day payment term.
If the Supplier refunds an amount on which the fee was paid, PartEnvoy will credit the corresponding fee against the next invoice or repay it where no further invoice is expected. The Supplier must retain and, upon reasonable request, provide order, invoice, credit and payment evidence needed to verify the calculation. Fees exclude VAT. Dutch VAT is added where required; valid cross-border B2B services may be reverse-charged where applicable. Overdue amounts carry statutory commercial interest and reasonable recovery costs.
9. Introductions and fair dealing
For 12 months after PartEnvoy first discloses the relevant Buyer or opportunity, the Supplier must not avoid or reduce the agreed fee by contracting, invoicing or communicating outside the PartEnvoy process for the same or a substantially related requirement. The Supplier must disclose a documented pre-existing active relationship within five business days of learning the Buyer's identity; genuinely pre-existing and independently arising unrelated opportunities are excluded. Breach makes the success fee that would have applied payable together with reasonable recovery costs, without creating a penalty or preventing lawful competition.
10. Independent relationship and competition
The Supplier remains an independent business. Nothing appoints PartEnvoy as its commercial agent, distributor, reseller, partner, employee, fiduciary or representative, and PartEnvoy has no general or continuing authority to negotiate or conclude sales on the Supplier's behalf. The Supplier independently determines its price, capacity and whether to quote or contract. It must not seek or share another Supplier's confidential quotation or use PartEnvoy to coordinate prices, customers, territories, capacity or output.
11. Subcontracting, logistics and compliance
The Supplier remains responsible for approved subcontractors and must impose relevant technical, quality, confidentiality, security, intellectual-property, export and record duties. If transport is coordinated, the Supplier must provide accurate shipment details and remains responsible for packaging, labelling, loading and allocated documents. The designated Buyer or Supplier contracts directly with the carrier. The Supplier must comply with applicable labour, safety, environmental, anti-bribery, sanctions, customs, export-control, competition, privacy and product laws.
12. Defects, incidents and insurance
The Supplier must notify suspected nonconformity before delivery, contain affected product, preserve traceability and support root-cause and corrective action. Remedies, recall and field action are governed by the direct Buyer contract and any Quality Agreement. The Supplier must maintain insurance appropriate to its activities and project risk and provide evidence when requested.
13. Liability
The Supplier remains responsible to the Buyer under their direct contract. PartEnvoy is not liable for Buyer payment or conduct, opportunity volume, rejected quotations or indirect or consequential loss, lost profit, production, contract, goodwill or data. For application and free network access, PartEnvoy's aggregate liability is €1,000; an Opportunity Notice or Supplier Framework Agreement may state another cap for paid activity. Nothing limits fraud, wilful misconduct, death or personal injury caused by negligence, or non-waivable liability.
14. Suspension, termination, records and law
PartEnvoy may pause or end access for security risk, false information, expired certification or insurance, sanctions concern, serious quality failure, misuse, fee default or material breach. Either party may end future participation, but confidentiality, accrued and subsequently triggered success fees, protected introductions, direct orders, intellectual property, liability and records survive as applicable. Electronic acceptance, timestamps and retained versions are evidence. Dutch law governs; the District Court of Oost-Brabant, location 's-Hertogenbosch, has exclusive jurisdiction, subject to mandatory law and urgent protective relief.
These terms supplement the Website Terms. A signed NDA, Opportunity Notice, Supplier Framework Agreement, direct supply contract and Quality Agreement take priority where they expressly cover the same subject.
