Version 2026-10-05-v4
1. Parties and acceptance
“Buyer” means the business identified in the RFQ. “Supplier” means an independent manufacturer or production provider. “PartEnvoy” means Dániel Gergő Kis, trading as PartEnvoy, KVK 42159606. By submitting, the Buyer confirms business status, authority and acceptance of these terms. Submission starts an initial review only; PartEnvoy may decline any request.
2. Scope and authority
Submission authorises PartEnvoy to receive, review and structure the RFQ internally under the selected confidentiality and sourcing routes. Under Controlled sourcing, Supplier outreach and technical-file release each require a separate recorded Buyer approval. Under Standard sourcing, a verified submission authorises PartEnvoy to contact approved Suppliers with non-confidential RFQ details and, after the conditions in section 4 are met, share technical files attached at submission with those Suppliers. Neither route authorises disclosure of the Buyer's identity without separate written approval. PartEnvoy has no authority to bind the Buyer, place an order, approve a deviation or spend Buyer funds without specific written authority. No minimum quotation count, price, lead time or successful outcome is guaranteed.
PartEnvoy acts as an independent introducer and sourcing coordinator, not as the Buyer's or Supplier's commercial agent, distributor, reseller, fiduciary or representative. It has no general or continuing authority to negotiate or conclude a manufacturing contract for either party.
3. Buyer information and rights
The Buyer must provide accurate drawings, revisions, specifications, materials, quantities, tolerances, intended use, acceptance criteria, destination and regulatory, safety, confidentiality and export-control restrictions. The Buyer warrants it has the rights and authority needed for PartEnvoy and approved Suppliers to use submitted materials for quotation and contemplated manufacture. PartEnvoy may rely on the Buyer’s written information.
4. Controlled disclosure and confidentiality
The selected sourcing route and its accepted terms version are retained with each RFQ. Earlier RFQs keep their original separate-approval permissions; this version does not broaden them. Under Standard sourcing, file sharing is limited to the technical files attached when the RFQ was submitted, and only to an approved Supplier engaged for that RFQ. Release requires the Supplier's acceptance of applicable commercial terms, completion of any required NDA, and a clean malware-screening result for every file in that initial set. Files added later, new types of disclosure, and disclosure of Buyer identity require separate written approval. Under Controlled sourcing, Supplier contact and each file release require separate recorded Buyer approvals. If the Buyer selects “NDA required before supplier sharing,” marked technical files may be released only after the applicable Supplier NDA is recorded. If the Buyer selects “NDA required before PartEnvoy receives files,” PartEnvoy will not request or accept technical files until the PartEnvoy confidentiality arrangement is in place. The Buyer must identify third-party restrictions before submission. A separately signed NDA controls if it provides stronger or more specific protection.
5. Anonymised comparisons and Supplier selection
PartEnvoy may standardise, summarise, rank and compare responsive Supplier quotations. An initial comparison may withhold the Supplier's name, contact details and exact facility address while showing the quoted price, currency, tooling, lead time, validity, relevant capability and quality information, broad manufacturing country or region where material, assumptions, exclusions and delivery terms. The Buyer must not attempt to re-identify or contact an anonymised Supplier outside the agreed process.
An anonymised comparison is a non-binding decision aid, not a Supplier offer capable of acceptance and not an order. PartEnvoy will not knowingly alter a material commercial or technical condition; the identified Supplier's official quotation controls if there is a discrepancy. Before a binding acceptance or purchase order, PartEnvoy will disclose the selected Supplier's identity and official quotation so the Buyer can conduct risk-appropriate technical, quality, sanctions, insurance and financial due diligence and verify scope, exclusions, currency, tax, tooling, origin, delivery, Incoterms, quality evidence and validity. Inclusion or recommendation is not certification or a guarantee.
6. Buyer price and PartEnvoy remuneration
RFQ submission, initial fit review and standard sourcing coordination do not carry a Buyer fee. The Supplier determines the customer-facing price and may take its separately agreed PartEnvoy success fee into account when setting that price. The Buyer pays the selected Supplier the price in the Supplier's accepted quotation and direct contract; PartEnvoy invoices the Supplier separately and does not add an undisclosed surcharge after selection or collect the manufacturing price from the Buyer.
Optional engineering, technical-drawing, inspection coordination, transport or other Buyer-requested work may carry a separate fee only where its scope, amount or calculation and payment trigger are stated in a written quotation or Project Order accepted by the Buyer. A Supplier-paid success fee does not make PartEnvoy the seller of the goods. Amounts exclude VAT unless stated otherwise.
Selecting an engineering-review or inspection-coordination option in an enquiry records a request for scoping only. It is not an engineering approval, design certification, inspection certificate or instruction to begin paid work. PartEnvoy does not certify the Buyer's design or the manufactured goods. Any review or inspection scope, responsible provider, deliverables, reliance limits and price must be accepted separately in writing.
7. Direct manufacturing contract and defects
Manufacture and sale occur only under a direct contract between Buyer and Supplier covering scope, price, payment, title, risk, delivery, inspection, acceptance, warranty, defects, product liability, intellectual property, tooling, compliance, termination and disputes. The Supplier is responsible for manufacturing method, workmanship, material conformity, process control, inspection, certification, packaging and delivery. The Buyer is responsible for its design, intended use, approvals and acceptance. Manufacturing defects and Supplier non-performance must be pursued under that direct contract, except for loss separately caused by PartEnvoy’s own breach.
8. Optional transport coordination
If requested, PartEnvoy may collect shipment information, obtain and compare carrier quotations and relay an approved booking instruction. The Buyer and Supplier must decide who contracts with and pays the carrier, packages and loads goods, buys cargo insurance, completes customs or security filings, and acts as shipper, consignee, exporter and importer of record. PartEnvoy is not a carrier, freight forwarder, warehouse or customs representative, takes no custody, and does not guarantee collection, transit, customs clearance or delivery.
9. Introductions and fair dealing
Supplier identity, pricing and contact information disclosed through PartEnvoy are confidential until the agreed disclosure stage. The Buyer must not knowingly use them to help avoid an accepted PartEnvoy fee for the same or a substantially related opportunity during the Supplier's applicable 12-month protected period. Any Buyer fee or Buyer-specific remedy requires a written Project Order accepted by the Buyer; the Supplier remains responsible for a Supplier success fee under its own accepted terms. Documented pre-existing relationships and independently arising opportunities are excluded.
10. Compliance and restricted work
The Buyer must comply with applicable anti-bribery, sanctions, export-control, competition, privacy and product laws and identify end use, end user, destination and known classification. Safety-critical, medical, aerospace, defence, dual-use, pressure-equipment, cleanroom and similarly controlled work is subject to separate review and may require additional quality and legal agreements.
11. Liability
PartEnvoy is liable only for direct loss caused by its attributable breach of an express accepted obligation. To the maximum extent permitted by law it is not liable for a Supplier’s act, defect, insolvency or delay; carrier loss or delay; Buyer design error; or indirect or consequential loss, lost profit, revenue, production, contract, opportunity, goodwill, data or anticipated savings. For free initial review, aggregate liability is €1,000; for paid work, the accepted Project Order or Customer Services Agreement must state the applicable cap. Nothing limits fraud, wilful misconduct, death or personal injury caused by negligence, or non-waivable liability.
12. Records, termination and law
Either party may end the unpaid initial review at any time. Accepted paid work, earned fees, direct Supplier orders, confidentiality, intellectual property, liability and dispute provisions survive as applicable. Electronic acceptance, submission timestamps and retained versions are evidence. Dutch law governs; the District Court of Oost-Brabant, location ’s-Hertogenbosch, has exclusive jurisdiction, subject to mandatory law and urgent protective relief.
These terms supplement the Website Terms. A signed NDA, Customer Services Agreement and Project Order take priority where they expressly cover the same subject.
